Aims

This course aims to offer a comprehensive overview of global, national and local corporate governance issues that are essential for students to understand. It includes a discussion of the significance of good corporate governance across a wide range of organisations, the growing importance of enterprise risk management and business ethics enhancement.

Contents

The course covers the following topics:

  • Governance in management decisions
  • Regulatory requirements on corporate governance
  • Roles, duties and powers of the board
  • Psychology and dynamics of the board
  • Culture and the board
  • Non-financial reporting
  • Board and senior executive evaluation
  • Risk management and internal control

Learning support

There will be ten two-hour online lectures and two six-hour compulsory face-to-face day schools.

Assessment

There are two individual assignments, two application-based assessments and one examination. Assignments should be prepared with Microsoft Word, and submitted to Turnitin for plagiarism checking via the Online Learning Environment (OLE).

Equipment

Students will need access to a personal computer with an Internet connection.

Set book(s)

There are no set books for this course, but students will receive access to HKCGI online study material as part of the course.

Remarks

This is a two-term course starting in the Spring Term with teaching activities in the Summer Term. The course will end in the Summer Term.
